Welcome to Khemma!

These Terms of Service ("Terms") govern your use of the Khemma platform at https://khemma.cloud ("Platform") and all services provided by Khemma. By registering for an account or using our Platform, you agree to these Terms.

1. Platform Description

Khemma is a platform that connects TikTok creators with brands for collaboration opportunities. We provide tools for creators to showcase their portfolios, connect their TikTok accounts, display their statistics, and engage with brand campaigns. For brands, we facilitate discovering, vetting, and collaborating with suitable creators for their marketing campaigns.

2. Accounts and Registration

2.1 Eligibility: To use Khemma, you must be at least 18 years old and capable of forming a legally binding contract.

2.2 Account Creation: You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your password and all activities under your account.

2.3 Account Types:
   - Creator accounts are for individuals who create content on TikTok
   - Brand accounts are for businesses seeking to work with creators

3. TikTok Account Connection

3.1 Data Access: When you connect your TikTok account to Khemma, you authorize us to access certain data from your TikTok profile, including your username, follower count, engagement metrics, and content statistics.

3.2 Third-Party Terms: Your use of TikTok remains subject to TikTok's own Terms of Service and Privacy Policy. Khemma is not affiliated with TikTok.

3.3 Account Disconnection: You may disconnect your TikTok account from Khemma at any time, but this may limit your ability to use certain features of our Platform.

4. Content and Intellectual Property

4.1 User Content: You retain ownership of the content you submit to Khemma, but grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving the Platform.

4.2 Platform Content: All content provided by Khemma, including but not limited to text, graphics, logos, icons, images, and software, is the property of Khemma or its licensors and is protected by copyright and other intellectual property laws.

4.3 Brand Assets: Brands retain all rights to their branding materials, campaign briefs, and proprietary information shared on Khemma.

5. Campaigns and Collaborations

5.1 Campaign Creation: Brands may create campaigns specifying requirements, deliverables, timelines, and compensation.

5.2 Applications: Creators may apply to campaigns for which they qualify, but Khemma does not guarantee selection.

5.3 Collaboration Agreements: Any agreement between a creator and brand is a direct contractual relationship between those parties. Khemma serves only as a platform facilitator.

5.4 Payment Terms: For campaigns using Khemma's escrow payment system:
   - Brands must fund the campaign before creators begin work
   - Funds are held securely until deliverables are approved
   - Khemma charges a 5% service fee on successfully completed campaigns
   - Withdrawal minimums and processing times are specified in our Payment Policy

6. Prohibited Conduct

You agree not to:
   - Violate any applicable laws or regulations
   - Impersonate others or provide false information
   - Use the Platform for spam, scams, or deceptive practices
   - Manipulate follower counts or engagement metrics
   - Harass, abuse, or harm other users
   - Attempt to gain unauthorized access to the Platform
   - Use the Platform for any illegal or unauthorized purpose

7. Termination

7.1 Khemma reserves the right to suspend or terminate your account at any time for violations of these Terms, illegal activity, or any other reason at our sole discretion.

7.2 You may terminate your account at any time by contacting support@khemma.cloud.

7.3 Upon termination, you will lose access to your account and all associated data, but obligations that by their nature should survive termination shall survive.

8. Disclaimers and Limitation of Liability

8.1 Khemma provides the Platform on an "as is" and "as available" basis, without warranties of any kind, either express or implied.

8.2 Khemma does not guarantee the accuracy of creator metrics, campaign performance, or user-generated content.

8.3 Khemma is not responsible for the conduct of users on the Platform or the outcome of collaborations.

8.4 In no event shall Khemma be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Dispute Resolution

9.1 Any dispute arising from these Terms or your use of Khemma shall be governed by the laws of South Africa.

9.2 You agree to attempt to resolve any disputes informally before pursuing legal action.

10. Changes to the Terms

10.1 Khemma may update these Terms from time to time. We will notify users of significant changes via email or through notices on the Platform.

10.2 Your continued use of Khemma after such changes constitutes acceptance of the updated Terms.
